For increasing the Authorized capital of the company verify whether the Articles of Association authorize to increase the capital from current level. Director’s approval in board meeting and shareholders’ approval in a general meeting (Annual or Extraordinary meeting) is required for this purpose. For this purpose call an extraordinary general meeting of the shareholders through a notice and the notice shall states the Agenda of the meeting and contains the explanatory statements required. Ordinary resolution is sufficient for increasing the authorized share capital of the company. Form SH-7 has to file with ROC within 30 days of passing of Ordinary resolution in the meeting along with the copy of alteration of Capital clause in MOA.
